General Terms and Conditions

I. General
1. The following General Terms and Conditions (GTC) apply to all our business relationships with our customers (hereinafter also referred to as "Buyer"), in particular to all our deliveries, services and offers. The GTC shall only apply if the customer is an entrepreneur (Section 14 of the German Civil Code (BGB)), a legal entity under public law or a special fund under public law. Individual agreements (e.g. framework supply agreements, quality assurance agreements) and the information in our order confirmation shall take precedence over the GTC.
2. Our GTC shall apply exclusively. Deviating, conflicting or unfavorable supplementary general terms and conditions of the customer shall not become part of the contract even if we do not object to them separately. The customer's general terms and conditions shall only become part of the contract if and insofar as we have expressly agreed to their validity. This requirement of consent shall apply in any case, for example even if the customer refers to his general terms and conditions in the context of
an order and we do not expressly object to them. In this case, too, our GTC shall apply exclusively.
3. Our GTC shall be deemed accepted by the customer if they are not objected to immediately after receipt of our order confirmation at the latest.
4. legally relevant declarations and notifications by the customer in relation to a contractual legal relationship (e.g. setting of deadlines, notification of defects, etc.) must be made in writing. Written form within the meaning of these GTC includes written form (e.g. letter) and text form (e.g. e-mail or fax). All telephone or other verbal agreements, additions or amendments also require our written confirmation to be effective.
5. These terms and conditions also apply to future similar transactions with the customer without us having to refer to them again in each individual case.

II. offers
1. Our offers are subject to change and non-binding. The information on
properties contained in our public statements, such as catalogs, brochures, circulars, advertisements, illustrations, advertising, price lists and other product descriptions shall only form part of the quality insofar as they have become part of the contract in individual cases. Public statements made by a third party (e.g. the manufacturer or its agent) shall only form part of the quality of the goods if they have been agreed in the contract
in individual cases or if we have expressly adopted them as our own in public statements.
2. Information on the quality or durability of goods or services shall not contain any assurance, in particular no guarantee of quality, durability or other guarantee, in particular no guarantee within the meaning of § 443 BGB, if we have not expressly assumed such a guarantee in writing in individual cases.

III. prices
1. Unless otherwise agreed in writing, all prices are ex works excluding packaging plus statutory value added tax (VAT). VAT shall be invoiced on the day of invoicing at the applicable statutory rate
and shown separately on the invoice.
2. The deduction of a cash discount requires special written agreement.
3. We reserve the right to change our prices appropriately if cost reductions or cost increases occur after conclusion of the contract, in particular due to changes in wage costs, e.g. due to collective wage agreements, or changes in the price of materials. We shall provide evidence of these to the purchaser on request. If the manufacturer or supplier increases its prices before we have delivered, we shall also be entitled to increase the price agreed with the Buyer for the goods not yet
delivered by the same amount. However, the right to subsequently increase prices after conclusion of the transaction shall only apply if and to the extent that we generally increase our prices and only if we are not in default of performance.

IV. Delivery, assembly, commissioning
1. Unless expressly agreed otherwise, delivery shall be ex works (EXW according to Incoterms® 2020), which is also the place of performance for the delivery and any subsequent performance. At the request and expense of the buyer, the goods will be shipped to another
destination (sale to destination).
2. We endeavor to meet stated delivery times wherever possible, but all information in the order confirmation regarding delivery times is non-binding and indicative.
3. the occurrence of a delay in delivery shall be determined in accordance with the statutory provisions. In any case, however, a reminder from the buyer is required. In the event of a delay in delivery, the customer must grant a reasonable grace period. The delivery periods shall commence on the day of our order confirmation; Saturdays are not working days.
4. Our delivery period shall be deemed to have been met if our product has left the factory by the end of this period or if we have notified the customer that the product is ready for dispatch. If acceptance is required, the acceptance date shall be decisive.
5. Events of force majeure, other unforeseeable circumstances such as unforeseeable disruptions to our business operations, the business operations of our suppliers or other unforeseeable disruptions in the supply chain for which neither we nor our suppliers are responsible despite exercising reasonable care in accordance with
the circumstances of the case shall postpone the delivery dates by a reasonable period.
6.We are entitled to withdraw from the contract if delivery is not possible within a reasonable period of time. If we have concluded corresponding congruent covering transactions with upstream suppliers to fulfill our purchase contract, we do not have to deliver if the upstream supplier is unable to deliver. We shall inform the buyer of these circumstances without delay. Any monies paid shall be refunded by us without delay. Partial deliveries and partial services are permissible insofar as reasonable for the buyer.
7. If the delay in delivery is not due to an intentional or grossly negligent breach of contract for which we are responsible, our liability is limited to the foreseeable, typically occurring damage. Liability for consequential damages and other indirect damages is excluded.
8. If the delay in delivery for which we are responsible is based on the culpable breach of a material contractual obligation, we shall be liable in accordance with the statutory provisions; liability shall be limited to the foreseeable, typically occurring damage. The
liability for consequential damages and other indirect damages is excluded.
9. The further statutory claims and rights of the customer due to a delay in delivery on our part remain unaffected.
10. Assembly and commissioning of the delivery item shall only be carried out by us if this has been expressly agreed and only under our assembly conditions. These must be agreed with us in writing in advance and in each individual case.

V. Terms of payment
1. Unless otherwise agreed, our invoices are to be paid net immediately. If, after conclusion of the contract, justified doubts arise as to the creditworthiness of the Buyer, we shall be entitled to demand advance payment or
security within a reasonable period of time. If the buyer does not comply with this request within the deadline, we are entitled to withdraw from the contract after the deadline has expired. The statutory regulation of § 321 BGB remains unaffected by the above agreement.
2. The customer is only entitled to set-off rights if his counterclaims have been legally established, are undisputed or have been expressly recognized by us. In addition, the customer shall be entitled to exercise a right of retention insofar as its counterclaim is based on the same contractual relationship and has been legally established, is undisputed or has been expressly recognized by us.

VI Transfer of risk and default of acceptance

1. the risk of accidental loss and accidental deterioration shall pass to the buyer at the latest upon handover. This also applies to carriage paid delivery. In the case of sale by dispatch, the risk of accidental loss and accidental
deterioration as well as the risk of delay shall pass to the Buyer upon delivery of the goods to the forwarding agent, carrier or other person or institution designated to carry out the shipment. This shall also apply if we assume further
services, such as in particular shipping costs or delivery.
2. If acceptance has been agreed, the risk shall pass upon acceptance. In all other respects, the statutory provisions of the law on contracts for work and services shall also apply accordingly to an agreed acceptance.
3. If the Buyer is in default of acceptance or if loading and dispatch are delayed for reasons for which the Buyer is responsible, this shall be deemed equivalent to handover. In the latter case, the risk shall pass to the buyer at the time of readiness for loading and dispatch.
4. If the buyer is in default of acceptance, fails to cooperate or if our delivery is delayed for other reasons for which the buyer is responsible, we shall be entitled to demand compensation for the resulting damage including additional expenses (e.g. storage costs). In the above cases, we are entitled to demand lump-sum compensation amounting to 0.5% of the net purchase price per calendar week up to a maximum of 5% of the net purchase price. The
proof of higher damages and our statutory claims (in particular compensation for additional expenses) shall remain unaffected; the above lump sum shall be offset against further claims. The buyer is entitled to prove that
we have incurred no damage at all or only significantly less damage than the above lump sum.

VII Warranty

1. Für die Rechte des Käufers bei Sach- und Rechtsmängeln (einschließlich Falsch- und Minderlieferungen sowie unsachgemäßer Montage/Installation oder mangelhafter Anleitungen) gelten die gesetzlichen Vorschriften, soweit nachfolgend nichts anderes
bestimmt ist. Unberührt bleiben die Rechte des Käufers aus gesondert abgegebenen Garantien insbesondere solchen seitens des Herstellers.
2. Grundlage unserer Mängelhaftung ist primär die über die Beschaffenheit und die vorausgesetzte Verwendung (einschließlich Zubehör und Anleitungen) getroffene Vereinbarung. Als Beschaffenheitsvereinbarung in diesem Sinne gelten nur diejenigen
Produktbeschreibungen und Herstellerangaben, die Gegenstand des einzelnen Vertrages geworden sind oder von uns zum Zeitpunkt des Vertragsschlusses öffentlich bekannt gemacht waren. Soweit die Beschaffenheit danach nicht vereinbart wurde, ist nach der
gesetzlichen Regelung zu beurteilen, ob ein Mangel vorliegt oder nicht (§ 434 Abs. 3 BGB).
3. Im Falle des Vorliegens eines Mangels und dessen rechtzeitiger Anzeige leisten wir zunächst nach unserer Wahl Gewähr durch Nachbesserung oder Ersatzlieferung. Ist die von uns gewählte Art der Nacherfüllung im Einzelfall für den Käufer unzumutbar, kann er
sie ablehnen. Unser Recht zur Verweigerung der Nacherfüllung unter den gesetzlichen Voraussetzungen bleibt unberührt. Der Kunde hat uns die zur geschuldeten Nacherfüllung erforderliche Zeit und Gelegenheit zu geben, insbesondere ist er verpflichtet die
beanstandete Ware zu Prüfungszwecken zu übergeben. Die Nacherfüllung beinhaltet weder den Ausbau, die Entfernung oder sonstige Deinstallation der mangelhaften Sache, noch den Einbau die Anbringung oder die Installation einer mangelfreien Sache, wenn wir
ursprünglich nicht zu diesen Leistungen verpflichtet waren; gesetzliche Ansprüche des Käufers auf Ersatz entsprechender Kosten (Aus- und Einbaukosten) bleiben hiervon unberührt.
4. Schlägt die Nacherfüllung fehl, kann der Kunde grundsätzlich nach seiner Wahl Herabsetzung der Vergütung (Minderung) oder Rückgängigmachung des Vertrages (Rücktritt) verlangen. Bei einer nur geringfügigen Vertragswidrigkeit, insbesondere bei nur
geringfügigen Mängeln, steht dem Kunden jedoch kein Rücktrittsrecht zu.
5. Bei Vorliegen eines Mangels steht dem Kunden ein Kaufpreiszurückbehaltungsrecht nur in angemessener Höhe, die sich nach der Art des Mangels und der Nutzungsbeeinträchtigung richtet, zu. Darüber hinaus sind wir berechtigt, die Nachbesserung so lange zu verweigern, bis der Kunde einen unter Berücksichtigung des vorhandenen Mangels angemessenen Anteil des Gesamtkaufpreises bezahlt hat, insbesondere denjenigen von mangelfreien Teilstücken.
6. Wir tragen die zum Zwecke der Nacherfüllung erforderlichen Aufwendungen nach Maßgabe der gesetzlichen Vorschriften, wenn tatsächlich ein Mangel vorliegt. Dies gilt nicht für Mehraufwendungen, die dadurch entstehen, dass die Kaufsache an einen anderen Ort
als den Geschäftssitz des Käufers verbracht wird, es sei denn, die Verbringung entspricht ihrem bestimmungsgemäßen Gebrauch. Liegt tatsächlich kein Mangel vor sind wir berechtigt, die aus dem unberechtigten Mangelbeseitigungsverlangen entstandenen Kosten ersetzt zu verlangen, wenn der Kunde hätte erkennen können, dass kein Mangel vorliegt.
7. Die Mängelansprüche des Kunden setzen voraus, dass dieser seinen gesetzlichen Untersuchungs- und Anzeigepflichten (§§ 377, 381 HGB) rechtzeitig nachgekommen ist. Der Kunde hat uns erkennbare Mängel unverzüglich, längstens jedoch innerhalb von einer Woche ab Empfang der Ware schriftlich anzuzeigen, versteckte ebenfalls unverzüglich spätestens innerhalb von drei Werktagen nach Entdeckung, andernfalls ist die Geltendmachung der Gewährleistungsansprüche ausgeschlossen. Zur Fristwahrung genügt die rechtzeitige Absendung. Den Kunden trifft die volle Beweislast für sämtliche Anspruchsvoraussetzungen, insbesondere für den Mangel selbst, für den Zeitpunkt der Feststellung des Mangels und für die Rechtzeitigkeit der Mangelrüge.
8. Bei zum Einbau, zur Anbringung oder Installation bestimmter Produkte hat eine Untersuchung in jedem Fall unmittelbar vor dem Einbau oder der Weiterverarbeitung zu erfolgen. Soweit unsere Produkte in Anlagen eingebaut werden, ein Mangel dieser Anlage
auftritt und dies möglicherweise auf einen Mangel oder Fehler unserer gelieferten Produkte zurückzuführen ist, ist der Kunde verpflichtet uns auf Anforderung Einsicht in die Konstruktionsunterlagen und die technischen Details, soweit sie unseren Liefergegenstand betreffen, zu gewähren. Wird diese Einsicht verweigert, können wir die Nacherfüllung bis zur Einsicht verweigern.
9. Weitergehende Ansprüche des Kunden wegen Mängeln als nach Maßgabe der vorstehenden Absätze sind ausgeschlossen.
10. Schadensersatzansprüche unter den nachfolgenden Bedingungen wegen des Mangels kann der Kunde erst geltend machen, wenn die Nacherfüllung fehlgeschlagen ist oder wir die Nacherfüllung verweigern. Das Recht des Kunden zur Geltendmachung von
weitergehenden Schadensersatzansprüchen unter den nachfolgenden Bedingungen bleibt davon unberührt.

VIII. Limitation period for claims for defects
1. Notwithstanding the provision of Section 438 (1) No. 3 BGB, the general limitation period for claims arising from material defects and defects of title is one year from delivery. If acceptance has been agreed, the limitation period shall commence upon acceptance. Otherwise
, the statutory limitation periods for claims for defects pursuant to § 438 BGB shall apply.
2. The above limitation periods of the law on sales shall also apply to contractual and non-contractual claims for damages of the buyer based on a defect of the goods. This shall not apply in the event of injury to life, body or health, in the event of intent or gross negligence by us, our legal representatives, our executive employees and other vicarious agents.

IX. Liability for advice
Insofar as we provide application-related advice, information or recommendations, etc., we shall only be liable for grossly negligent or intentionally incorrect advice. We shall only be liable for information or recommendations if these have been given in writing. Such claims expire one year after the provision of information or advice. In any case, any claim for damages shall be limited to a maximum of 10% of the agreed purchase price for the delivery of the goods. This shall also apply to any claims under Clause VII.

X. Other limitations of liability
1. Notwithstanding the preceding provision in VII. -IX. in accordance with the statutory provisions, insofar as the customer asserts claims for damages based on intent or gross negligence, including intent or gross negligence on the part of our representatives or vicarious agents. Insofar as we are not accused of intentional breach of contract, liability for damages shall be limited to the foreseeable, typically occurring damage.
2. We shall be liable in accordance with the statutory provisions if we culpably breach a material contractual obligation; in the case of slight negligence, however, liability for damages shall be limited to the foreseeable, typically occurring damage
.
3.Liability for culpable injury to life, limb or health remains unaffected; this also applies to mandatory liability under the Product Liability Act.
4. Liability for damages that fall within the scope of protection of a guarantee granted by us remains unaffected. However, we shall only be liable for damages that are based on the absence of the guaranteed quality or durability but do not occur directly on the goods if the risk of such damage was expressly covered by the guarantee.
5. Unless otherwise stipulated above, liability shall be excluded. This also applies if the customer demands compensation for useless expenses instead of a claim for damages. Insofar as our
liability is excluded or limited, this shall also apply with regard to liability for our legal representatives, executive employees and other vicarious agents.
6. The above clauses shall also apply to claims asserted by the customer under subrogated rights.
7. In the cases of clauses 1 and 2, the limitation period shall be two years from the date on which the claim arose and the customer became aware of the circumstances giving rise to the claim. Irrespective of the customer's knowledge, the
claim shall become time-barred three years after the event giving rise to the damage. The limitation period for claims for damages due to defects is governed by VIII.

XI. Compensation for damages in the event of non-acceptance
If the buyer does not accept the ordered goods even after a reasonable grace period has been set or if the buyer seriously and definitively declares before delivery that he will not accept the goods, we can withdraw from the contract without further ado, in particular without setting a further deadline, and demand compensation for non-performance. We may demand 25% of the net purchase price as liquidated damages. This shall also apply in the event of our justified withdrawal from the contract following a justified request for advance performance or provision of security. Proof of higher damages and our statutory claims (in particular compensation for additional expenses) shall remain unaffected; the above lump sum shall be offset against further claims. The Buyer shall be entitled to prove that we have incurred no loss at all or only a significantly lower loss than the above lump sum.

XIII Copyrights
We reserve all property rights and copyrights to drafts, plans and drawings as well as other documents produced by us. In particular, these may only be passed on or made accessible to third parties with our express prior consent. Drawings and other documents within the scope of offers must be returned to us or destroyed immediately at our request. If we have supplied items according to drawings, models, samples or other documents provided by the Buyer, the Buyer shall guarantee that the industrial property rights of third parties are not infringed. If third parties prohibit us from manufacturing and supplying such items by invoking their industrial property rights, we shall be entitled - without being obliged to examine the legal situation - to cease any further activity in this respect and to claim damages if the buyer is at fault. The purchaser is also obliged to indemnify us against all third-party claims in connection with such infringements.

XIV Retention of title
1. We reserve title to the goods sold until full payment of all our current and future claims arising from the purchase contract and an ongoing business relationship (secured claims).
2. The goods subject to retention of title may not be pledged to third parties or assigned as security before full payment of the secured claims. The buyer must inform us immediately in writing if an application
for the opening of insolvency proceedings is filed or if the goods belonging to us are seized by third parties (e.g. seizures).
3. in the event of breach of contract by the buyer, in particular non-payment of the purchase price due, we shall be entitled to withdraw from the contract in accordance with the statutory provisions and/or to demand the return of the goods on the basis of the retention of title
. The demand for return does not at the same time include the declaration of withdrawal; rather, we are entitled to demand only the return of the goods and reserve the right to withdraw from the contract. If the Buyer does not pay the purchase price due, we may only assert these rights if we have previously set the Buyer a reasonable deadline for payment without success or if setting such a deadline is dispensable according to the statutory provisions. 4.
4. until revoked in accordance with c) below, the buyer is authorized to resell and/or process the goods subject to retention of title in the ordinary course of business. In this case, the following provisions shall apply in addition.
a) The retention of title shall extend to the full value of the products resulting from the processing, mixing or combination of our goods, whereby we shall be deemed to be the manufacturer. If, in the event of processing, mixing or combining with goods of third parties, their right of ownership remains, we shall acquire co-ownership in proportion to the invoice values of the processed, mixed or combined goods. In all other respects, the same shall apply to the resulting product as to the goods delivered under retention of title.
b) The Buyer hereby assigns to us as security any claims against third parties arising from the resale of the goods or the product in total or in the amount of our possible co-ownership share in accordance with the preceding paragraph. We accept the assignment. The obligations of the Buyer stated in Clause 2 shall also apply in consideration of the assigned claims.
c) The Buyer shall remain authorized to collect the claim in addition to us. We undertake not to collect the claim as long as the Buyer meets his payment obligations to us, there is no deficiency in his ability to pay and we do not assert the retention of title by exercising a right in accordance with Clause 3. If this is the case, however, we can demand that the buyer informs us of the assigned claims and their debtors, provides all information necessary for collection, hands over the relevant documents and informs the debtors (third parties) of the assignment. In this case, we shall also be entitled to revoke the Buyer's authorization to further sell and process the goods subject to retention of title to
.
d) If the realizable value of the securities exceeds our claims by more than 10%, we shall release securities of our choice at the Buyer's request.

XV. Choice of law, place of jurisdiction, contract language
The law of the Federal Republic of Germany shall apply exclusively. The provisions of the UN Sales Convention shall not apply.
If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive - also international - place of jurisdiction for all disputes arising from and in connection with this contract shall be our registered office in 89264 Weißenhorn. The same shall apply if the customer is an entrepreneur within the meaning of § 14 BGB (German Civil Code), has no general place of jurisdiction in Germany or whose place of residence or habitual abode is not known at the time the action is brought. However, in all cases we are also entitled to bring an action at the buyer's general place of jurisdiction. The contract language is German. This also applies to all product descriptions, brochures, offers and order confirmations. Insofar as we use translations, this is exclusively for the convenience of foreign customers. Liability for misunderstandings arising from translations is expressly excluded.

As at 30.06.2025
